Axis Sourcing LLC is a Wyoming limited liability company with its registered office at 30 N Gould St, Ste R, Sheridan, Wyoming 82801, USA. Axis is a Northforge Group company. You can reach the desk at business@axissourcing.org.

The Site is an informational shop-window for our commodity origination and trade-execution desk. It does not constitute an offer, quotation, solicitation, prospectus, financial advice, investment advice, legal advice, or tax advice. Nothing on the Site creates a broker, agency, fiduciary, partnership, joint venture, or employment relationship between you and Axis.

Any binding commercial relationship between you and Axis — including any purchase, sale, mandate, fee arrangement or intermediary appointment — arises only under a separately negotiated written agreement executed by an authorised signatory of Axis. Emails, form submissions, quote requests, indicative pricing, sample documents, term sheets and desk correspondence are preliminary, subject to contract, subject to compliance clearance and subject to product availability, and are not binding on either side until such written agreement is signed.

Axis operates only with counterparties that satisfy our internal KYC, AML and sanctions checks. You represent that you are not a person, entity, or beneficial owner of an entity that is subject to sanctions administered by the United States (OFAC), the United Kingdom (OFSI), the European Union, or the United Nations, and that the goods, funds, and shipping routes involved in any prospective transaction are lawful in every relevant jurisdiction. Axis may decline or terminate any engagement at its sole discretion where compliance concerns arise.

You agree not to:

• use the Site or our contact channels for spam, scraping, phishing, or automated harvesting;
• submit false, misleading, or third-party identity information via any form on the Site;
• attempt to access non-public areas, probe or test the vulnerability of the Site, or bypass any access controls; or
• use the Site or its content in a manner that infringes intellectual property, contractual, or statutory rights.

The Site content — including copy, structure, graphics, generated imagery, the "Axis" and "Axis Sourcing" names, and downloadable resources such as the Incoterms 2020 guide — is owned by or licensed to Axis Sourcing LLC and is protected by applicable IP laws. Downloadable resources are made available for the requester's internal, non-commercial reference use; redistribution, republishing, or resale is not permitted without written consent.

The Site may reference third-party standards (for example FSC, PEFC, FLEGT, EUTR, Incoterms 2020) or link to third-party sites. Trademarks and standards belong to their respective owners. Axis is not responsible for third-party content and does not guarantee its accuracy, availability, or fitness for a particular purpose.

The Site and any resources provided through it are supplied "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted access. Commercial, regulatory, and shipping conditions change frequently; you must obtain independent legal, tax, insurance, and logistics advice before acting on any information.

To the maximum extent permitted by law, Axis Sourcing LLC and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, goodwill, data, or business opportunity, arising out of or in connection with your use of the Site or any preliminary correspondence, even if advised of the possibility of such damages. Axis's aggregate liability arising from your use of the Site is limited to USD 100.

You agree to indemnify and hold harmless Axis Sourcing LLC and its affiliates against any claims, damages, liabilities, and reasonable legal costs arising from your breach of these Terms, your misuse of the Site, or your infringement of third-party rights.

Axis may modify, suspend, or withdraw the Site or any part of it, and may update these Terms, at any time. The current version is always the one published at this URL. Material changes are indicated by updating the "Effective" date above; continued use of the Site after a change constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules. Any dispute arising out of or in connection with these Terms or your use of the Site will be submitted to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, save that Axis may bring proceedings in any jurisdiction where you or your assets are located to enforce its rights.
